    These Terms of Service ("Terms") govern your access to and use of Mtaani Tickets — the website, mobile experience, and related services (together, the "Platform") — operated by Teevexa Ltd. Please read them carefully. By creating an account, browsing events, booking a ticket, or listing an event for sale, you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, and Refund Policy, which are incorporated into these Terms by reference. If you do not agree, please do not use the Platform.

    1. Acceptance of terms

    By accessing or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, as they may be amended from time to time in accordance with Section 20. These Terms form a legally binding agreement between you and Teevexa Ltd. If you are using the Platform on behalf of an organization (for example, to sell tickets for a company or club), you confirm that you have the authority to bind that organization to these Terms.

    2. Definitions

    • "Platform" means the Mtaani Tickets website, and any associated applications, APIs, or services made available by Teevexa Ltd.
    • "Organizer" or "Vendor" means any user who creates and lists an Event for ticket sales on the Platform.
    • "Attendee" or "Buyer" means any user who books or purchases a ticket to an Event through the Platform.
    • "Event" means any concert, conference, workshop, or other gathering listed for ticket sales on the Platform by an Organizer.
    • "Booking" means a confirmed reservation of one or more tickets to an Event, whether paid or free.
    • "Content" means any text, images, descriptions, or other material uploaded to or displayed on the Platform, including Event listings and blog posts.

    3. Who we are

    Mtaani Tickets is a product of and operated by Teevexa Ltd ("Teevexa," "we," "us," or "our"), a private limited company registered under the Companies Act, 2015 of the Republic of Kenya, with company registration number PVT-BB1OKJME, registered office in Nairobi, Kenya. You can find out more about Teevexa Ltd at teevexa.com. Mtaani Tickets acts as a marketplace connecting Organizers who want to sell tickets with Attendees who want to buy them — we are not the organizer of any Event listed on the Platform unless explicitly stated otherwise.

    4. Eligibility & accounts

    You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or make a booking on the Platform. If you are booking tickets to an Event with an age restriction (for example, an 18+ event), you are responsible for meeting that Event's specific requirements.

    You agree to:

    • Provide accurate, current, and complete information when creating your account;
    • Keep your login credentials confidential and not share your account with others;
    • Notify us promptly at mtaanitickets@gmail.com if you suspect unauthorized use of your account; and
    • Maintain only one active account per person.

    We may suspend or close accounts that provide false information, are used to violate these Terms, or are inactive for an extended period, in accordance with Section 18.

    5. Using the platform

    You may browse Events, create an account, book tickets, and — where enabled for your account — list your own Events, subject to these Terms. We may change, suspend, or discontinue any feature of the Platform at any time, and we will try to give reasonable notice of material changes where practical.

    6. Buying tickets

    When you book a ticket to a paid Event, you will be prompted to complete payment via M-Pesa (Safaricom's mobile money service). Your booking is only confirmed once payment has been successfully processed and reflected on the Platform; a pending or failed payment does not reserve your ticket or guarantee availability. For free Events, your booking is confirmed immediately on submission.

    Once confirmed, your ticket — including a unique QR code used for check-in at the Event — is emailed to you and made available in your account Dashboard. You are responsible for presenting a valid ticket (digital or printed) at the Event for check-in. Tickets are generally non-transferable except where an Organizer explicitly permits it; treat your QR code as you would a paper ticket, as anyone who presents it first may be admitted.

    We are not responsible for bookings made with incorrect information (such as a wrong phone number for M-Pesa payment) that you provided. Please double-check your details before confirming a booking.

    7. Prices, fees & taxes

    Ticket prices are set by the Organizer and displayed on the Event page before you complete a booking, inclusive of any applicable taxes unless stated otherwise. Prices are shown in Kenyan Shillings (KES). Standard M-Pesa transaction charges levied by Safaricom are separate from the ticket price and are not controlled by us.

    8. Organizers & selling tickets

    By creating an Event listing, you represent and warrant that:

    • You have the legal right to organize and hold the Event as described;
    • All information in your listing (dates, pricing, venue, description, images) is accurate and not misleading;
    • You hold any licenses, permits, or permissions required to run the Event lawfully; and
    • You will honor the tickets sold through the Platform and admit Attendees who present a valid confirmed ticket.

    You are solely responsible for the planning, execution, safety, and delivery of your Event. Teevexa Ltd is not a party to the relationship between you and your Attendees beyond facilitating the ticketing and payment process described in these Terms.

    9. Commission & payouts

    Teevexa Ltd retains a platform commission on each paid ticket sold through the Platform, as shown to you before you publish an Event (currently a percentage of the ticket price that varies by listing type, for example standard versus featured placement). Your share of ticket proceeds accrues to your in-platform wallet as sales are confirmed. You may request a withdrawal of your available wallet balance to your M-Pesa number at any time; withdrawals are reviewed and processed by our team, typically within the timeframe stated on your Dashboard.

    We reserve the right to withhold or reverse payouts related to bookings that are refunded, disputed, or reasonably suspected to be fraudulent.

    10. Cancellations & refunds

    Refunds, cancellations, and what happens if an Event is postponed or canceled are governed by our Refund Policy, which forms part of these Terms.

    11. Prohibited conduct

    You agree not to:

    • List fake, misleading, or non-existent Events;
    • Use the Platform for ticket touting or scalping — reselling tickets at inflated prices outside of any resale mechanism we may offer;
    • Attempt to circumvent, disable, or interfere with the Platform's security features;
    • Use automated means (bots, scrapers) to access the Platform without our prior written permission;
    • Upload content that is unlawful, defamatory, obscene, or infringes another's rights;
    • Impersonate any person or entity, or misrepresent your affiliation with a person or entity; or
    • Use the Platform to facilitate payment fraud, money laundering, or any other unlawful activity, including under the Computer Misuse and Cybercrimes Act, 2018 of Kenya.

    12. Content & intellectual property

    The Platform, including its design, logos, and underlying software, is owned by Teevexa Ltd or its licensors and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform without our prior written consent, except as necessary to use the Platform for its intended purpose.

    13. User-generated content

    When you submit Content to the Platform — an Event listing, blog comment, review, or profile information — you grant Teevexa Ltd a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that Content for the purpose of operating and promoting the Platform. You remain responsible for the accuracy and legality of Content you submit, and you confirm you have the necessary rights to submit it (for example, rights to any images used in an Event listing).

    We may remove Content that violates these Terms or that we reasonably believe is unlawful or harmful, without prior notice.

    14. Third-party services

    The Platform relies on third-party services to operate, including Safaricom M-Pesa for payments, Google for optional sign-in, and email and hosting infrastructure providers. Your use of these services through the Platform is also subject to their own terms and privacy practices. We are not responsible for the availability or performance of third-party services outside our control.

    15. Disclaimers & event liability

    The Platform is provided "as is" and "as available." While we work to keep listings accurate and the booking process reliable, we do not guarantee that Event descriptions are error-free, that an Event will proceed as scheduled, or that the Platform will be uninterrupted or error-free at all times.

    Teevexa Ltd is not the organizer of Events listed by third-party Organizers and is not responsible for the conduct, safety, quality, or delivery of any Event. Any dispute regarding the Event itself — its content, cancellation, safety, or quality — is between you and the Organizer. We encourage Attendees and Organizers to resolve such disputes directly, and our support team is available to help facilitate communication where reasonable.

    16. Limitation of liability

    To the fullest extent permitted by Kenyan law, Teevexa Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, or from any Event you attend or organize, including loss of profits, data, or goodwill. Our total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total amount of fees you paid to us in the twelve (12) months preceding the claim. Nothing in these Terms limits any liability that cannot be limited or excluded under Kenyan law, including liability for death or personal injury caused by our negligence, or for fraud.

    17. Indemnification

    You agree to indemnify and hold harmless Teevexa Ltd and its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your Content, your Event (if you are an Organizer), or your violation of any law or third-party right.

    18. Termination & suspension

    You may stop using the Platform and close your account at any time by contacting us. We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk or possible legal exposure for us or other users. Sections of these Terms that by their nature should survive termination (including Sections 12, 16, 17, and 19) will continue to apply.

    19. Disputes & governing law

    These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or relating to these Terms or your use of the Platform shall first be addressed by contacting our support team at mtaanitickets@gmail.com in good faith. If a dispute cannot be resolved informally within thirty (30) days, it shall be subject to the exclusive jurisdiction of the courts of Kenya.

    20. Changes to these terms

    We may update these Terms from time to time to reflect changes in our services or legal requirements. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice (such as an in-app notification or email). Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
